Terms of Service

Overview

Welcome to Hoji House. The terms "Hoji House", "we", "us" and "our" refer to Hoji House Ltd, a company registered in England and Wales under company number [17181215]. Hoji House operates this store and website, including all related content, features, products and services (the "Services"). Hoji House is powered by Shopify.

These Terms of Service, together with our Privacy Policy, Returns Policy, Subscription Terms and Shipping Policy (each linked below), describe your rights and responsibilities when you use the Services.

Please read these Terms carefully. By using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not use the Services.

Nothing in these Terms affects your statutory rights as a consumer under the laws of England and Wales, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

 

Section 1 — Access and Account

By agreeing to these Terms, you confirm that you are at least 18 years old, or that you are accessing the Services with the involvement of a parent or guardian.

To place an order, you may need to provide information such as your email address, billing, payment and delivery details. You confirm that the information you provide is accurate, current and complete, and that you are authorised to provide it.

You are responsible for keeping your account credentials secure and for activity under your account. You may not transfer or sell your account to anyone else.

Section 2 — Our Products

We aim to represent our products accurately. However, the colour and appearance of products may vary slightly from how they appear on your screen, depending on your device. Slight natural variation in a roasted tea product (colour, aroma, taste) is normal and not a defect.

Product descriptions may change, and we may discontinue a product or limit quantities, at our discretion. This does not affect orders we have already accepted.

Section 3 — Orders

When you place an order, you are making an offer to purchase. Your order is accepted only when we send you an order confirmation, and we must receive payment before acceptance. We may decline or cancel an order before acceptance; if we do, we will contact you and refund any payment taken in full.

Please review your order before submitting. We may be unable to amend or cancel an order once it has been accepted and processed for dispatch — but this does not affect your statutory cancellation rights (see Section 5 and our Returns Policy).

Products purchased through this store are intended for personal or household use. If you wish to purchase for resale, wholesale, or commercial distribution, please contact us at [admin@hojihouse.co.uk] — wholesale purchases are governed by a separate written agreement, not these Terms.

Section 4 — Prices and Payment

Prices and promotions may change without notice. The price you pay is the price shown at the time you place your order, confirmed in your order confirmation email. Prices are inclusive of UK VAT where applicable; delivery charges are shown separately before you complete your order.

You confirm that the payment information you provide is accurate and that you are authorised to use the payment method.

Section 5 — Cancellation, Returns and Delivery

As a consumer, you have a statutory right to cancel most orders within 14 days of receiving them, under the Consumer Contracts Regulations 2013. However, because our products are food (perishable goods), and for health and hygiene reasons, opened tins or pouches cannot be returned except where the item is faulty, damaged, or not as described. Delivery times are estimates. We are not liable for delays caused by carriers or customs once we have dispatched your order, but this does not affect your statutory rights if goods are not delivered within a reasonable time. Risk of loss passes to you on delivery. Full delivery information is in our Shipping Policy.

Section 6 — Subscriptions

If you purchase a subscription, you will receive repeat deliveries at the frequency you select, and your payment method will be charged automatically before each delivery. You can pause, skip, change or cancel your subscription at any time through your account. Section 7 — Intellectual Property

The Services, including trademarks, brand names, text, images, graphics and their arrangement, are owned by Hoji House or its licensors and are protected by the laws of England and Wales, including the Copyright, Designs and Patents Act 1988 and the Trade Marks Act 1994, and by international intellectual property laws.

You may use the Services for personal, non-commercial use only. You may not reproduce, distribute, modify or republish material from the Services without our prior written consent. "Hoji House", our logo, and our product names are our trademarks and may not be used without permission. Shopify's trademarks belong to Shopify.

Section 8 — Third-Party Tools and Links

The Services may include tools or links provided by third parties, which we do not control. These are provided "as is" without warranties on our part, and your use of them is at your own risk and subject to the relevant third party's terms. We are not responsible for third-party websites or content. This does not exclude any liability we have to you under applicable law.

Section 9 — Relationship with Shopify

Hoji House is powered by Shopify. Any sales you make are directly with Hoji House. Shopify is not responsible for any aspect of the sales between you and Hoji House, and you release Shopify and its affiliates from claims arising from your purchases. Nothing in this section excludes or limits any liability of Hoji House to you under applicable law.

Section 10 — Privacy

Personal information we collect is handled in accordance with our Privacy Policy, which complies with UK GDPR and the Data Protection Act 2018. Because the Services are hosted by Shopify, certain information is also processed by Shopify under Shopify's privacy policy. By using the Services, you acknowledge you have read our Privacy Policy.

Section 11 — Reviews and Feedback

If you submit reviews, suggestions or other feedback ("Feedback"), you grant us a worldwide, royalty-free licence to use it, including for promotional purposes. You confirm that your Feedback is your own, is accurate, discloses any incentive you received for it, is not unlawful or defamatory, and does not infringe anyone's rights. We may, but are not obliged to, moderate or remove Feedback. We are not responsible for Feedback posted by users.

Section 12 — Errors

Occasionally the Services may contain errors relating to descriptions, pricing, promotions or availability. We may correct errors and cancel affected orders, even after submission, where information was materially inaccurate. If we cancel an order you have paid for due to a pricing error, we will refund you in full.

Section 13 — Acceptable Use

You may use the Services for lawful purposes only. You must not: use the Services for any unlawful purpose; break any applicable law; infringe our or others' intellectual property; harass or abuse any person; transmit false or misleading information; send spam or unsolicited advertising; impersonate any person or entity; upload malware; scrape or extract data using automated tools without our consent; or interfere with the security of the Services. We may suspend or terminate your access if you materially breach these Terms.

Section 14 — Disclaimer

Information on the Services — including blog content, brewing guides, and general background about hojicha — is provided for general information only. We do not warrant that it is complete, accurate, current, or suitable for any particular purpose, and any reliance you place on it is entirely at your own risk. We are not liable for any loss arising from reliance on general information on the Services.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Services or their server are free of harmful components. Your access to the Services may be suspended, withdrawn, or restricted at any time without notice and without liability.

This Section does not affect the binding commitments we make about the products themselves under the Consumer Rights Act 2015, and nothing in these Terms reduces those statutory rights.

Section 15 — Liability

To the fullest extent permitted by law, we exclude all liability — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — for any loss or damage arising from your use of the Services or any product, including any indirect, consequential, special, or punitive loss, and any loss of profit, revenue, business, goodwill, anticipated savings, or data, even if foreseeable.

We are not liable for any loss that was not reasonably foreseeable, for any loss caused by events outside our reasonable control, or for any loss arising from your failure to follow our storage, preparation, or usage instructions. The Services and products are supplied to you for private and domestic use only; we have no liability for any loss arising from any commercial use.

Where we are found liable to you despite the above, our total aggregate liability for any claim is limited to the price you paid for the product giving rise to the claim, and we will have no liability exceeding that amount except where the law does not permit such a limit.

The only exception to this Section is liability that cannot be excluded or limited under the law of England and Wales — which includes liability for death or personal injury caused by negligence, for fraud, for defective products, and for the statutory rights of consumers; because we sell food, these protections apply and nothing in these Terms removes or reduces them.

Section 16 — Indemnification

You agree to fully reimburse and compensate us, on demand, for all reasonable losses, liabilities, costs, and expenses (including reasonable legal costs) that we suffer or incur as a direct result of your breach of these Terms, your misuse of the Services, your violation of any law, or your infringement of any third party's rights.

This obligation does not apply to the extent that any loss arises from our own breach, negligence, or fault, and it does not affect or reduce your statutory rights as a consumer. The amount you reimburse is limited to losses that are a reasonably foreseeable result of the matters set out above.

We will notify you of any claim covered by this Section, may conduct its defence and settlement (without agreeing any non-financial obligation on your part without your consent, not to be unreasonably withheld), and you will provide reasonable cooperation.

Section 17 — General

If any provision of these Terms is found unenforceable, the remaining provisions continue in effect. Our failure to enforce a right is not a waiver of it. These Terms (with the linked policies) are the entire agreement between you and us. You may not transfer your rights under these Terms without our consent; we may transfer ours where this does not reduce your rights, including your statutory consumer rights.

Section 18 — Changes to These Terms

We may update these Terms. The current version is always on this page. We will notify you of material changes. Changes do not apply retroactively to orders already accepted. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

Section 19 — Governing Law and Jurisdiction

These Terms and any dispute arising from them are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer resident elsewhere in the UK, you may also bring proceedings in your local courts, and the mandatory consumer protection laws of your country of residence continue to apply.
